1. Agreement to these Terms

These Terms of Service ("Terms") are a legal agreement between you and Auto Migrator ("AutoMigrator," "we," "us," or "our") governing your use of the AutoMigrator application and the automigrator.com website (together, the "Service").

By creating an account, downloading, installing, and using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What AutoMigrator is

Auto Migrator is a self-service, local-first data migration, import, and/or upload tool. It helps you process your data from your software and move it to another software and/or your device alongside offering validation features intended to help you check that your data is complete and correct.

Key characteristics:

Self-service: You initiate and carry out every migration, import, and/or upload action. Auto Migrator provides the tooling; you decide what to migrate, from where, and to where.
Local-first: Migrations, imports, and/or uploads run on your own device. All data is processed locally and is not stored by us.
Cloud is limited: Our cloud services are used only to deliver and protect our proprietary software and to manage your account login session, not to store your migrated data.

3. Eligibility

You must be at least [18 / the age of majority in your jurisdiction] and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Accounts and login

To use the Service you may need an account. You agree to provide accurate information, to keep your login credentials secure, and to be responsible for all activity under your account. Notify us promptly at team@automigrator.com if you suspect unauthorized use.

5. License to use the software

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the AutoMigrator application for your own data migration purposes [and, if applicable, in accordance with the plan you have purchased].

You may not:

Copy, modify, distribute, sell, or lease any part of the Service;
Reverse engineer, decompile, or attempt to extract the source code or our proprietary methods, except to the extent this restriction is prohibited by applicable law;
Circumvent, disable, or interfere with any licensing, security, or authentication features;
Use the Service to build a competing product or to scrape or copy our proprietary code or content from Auto Migrator or the providers listed on the application.

All rights not expressly granted are reserved by us.

6. Your responsibilities (self-service nature)

Because the Service is self-service and operates locally under your direction, you are solely responsible for the actions you take with it and their results. In particular, you are responsible for:

Authorization: Ensuring you have the legal right and any necessary permission to access, extract, and migrate the data you move — including the right to use the source and destination accounts and credentials you provide.
Compliance with provider terms: Complying with the terms of service, contracts, and access rules of your source and destination providers (including regulated or "locked-down" providers). AutoMigrator does not grant you any rights with respect to those providers.
Legal and regulatory compliance: Complying with all laws and regulations that apply to your data, which may include sector-specific privacy, financial, health, or records-retention rules.
Verifying your data: Reviewing the results of each migration. The validation features are tools to assist you (see Section 7); they do not replace your own review.
Backups: Maintaining your own backups before migrating. Migration can be irreversible.
Your environment: The security and proper functioning of your own device, accounts, and network.

7. Validation features — what they are and aren't

The Service offers features designed to help you check that migrated data is complete and accurate. These features are provided to assist you and are offered on a best-effort basis. They do not guarantee that a migration is complete, accurate, or error-free, and they are not a substitute for your own verification. You remain responsible for confirming that your data is correct after any migration.

8. Acceptable use

You agree not to use the Service to:

Violate any law or the rights of others, or access data you are not authorized to access;
Infringe intellectual property or misappropriate confidential information;
Introduce malware or attempt to gain unauthorized access to any system;
Interfere with, overburden, or disrupt the Service or its infrastructure.

We may suspend or terminate access for violations of this section.

9. Third-party providers and services

The Service interacts with third-party source and destination providers that you choose. We are not responsible for those providers, their terms, their availability, or any consequences of connecting to them. Your use of third-party providers is governed by their own terms and policies, and any changes those providers make may affect how the Service works.

10. Fees, billing, and cancellation (include only if the Service is paid)

Plans and fees. Paid features are described at https://automigrator.com/pricing. Fees are charged in advance on a [monthly/annual/one-time] basis through our payment processor, Stripe.
Renewals. Subscriptions renew automatically unless you cancel before the renewal date.
Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period.
Refunds. [State your refund policy, e.g., "Fees are non-refundable except where required by law," or describe any refund window.]
Changes to pricing. We may change fees on prospective notice; changes do not affect the period you have already paid for.

11. Intellectual property

The Service, including the AutoMigrator application, its proprietary code, design, and all related materials, is owned by us and our licensors and is protected by intellectual property laws. These Terms do not transfer any ownership to you. "Auto Migrator", "Auto Migrator", "AM" and our logos are our trademarks (pending as of 06/01/2026); you may not use them without our permission.

Any data you migrate remains yours — we claim no ownership over it.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE ABOVE, WE DO NOT WARRANT THAT: (a) MIGRATIONS WILL BE COMPLETE, ACCURATE, OR ERROR-FREE; (b) THE VALIDATION FEATURES WILL DETECT ALL ERRORS; (c) THE SERVICE WILL BE UNINTERRUPTED OR SECURE; OR (d) THE SERVICE WILL BE COMPATIBLE WITH ANY PARTICULAR SOURCE OR DESTINATION PROVIDER.

YOU USE THE SERVICE AT YOUR OWN RISK AND ARE RESPONSIBLE FOR MAINTAINING BACKUPS AND VERIFYING YOUR DATA.

(Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.)

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Auto Migrator LLC AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE [12] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) [USD 50 / OTHER AMOUNT].

(Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.)

14. Indemnification

You agree to indemnify and hold harmless Auto Migrator LLC and its owners, employees, and suppliers from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your data, your violation of these Terms, or your violation of any law or third-party rights (including any source or destination provider's terms).

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. On termination, the license in Section 5 ends and you must stop using the application. Sections that by their nature should survive termination (including Sections 11–14) will survive.

16. Changes to the Service and to these Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms; when we do, we will revise the "Last updated" date and, for material changes, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.

17. Governing law and disputes

These Terms are governed by the laws of Florida/United States, without regard to its conflict-of-laws rules. [Specify how disputes are resolved — e.g., courts located in a particular county/state, or an arbitration clause. This is an important choice; please confirm with counsel.]

18. General

Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
Severability: If any provision is found unenforceable, the rest remain in effect.
No waiver: Our failure to enforce a provision is not a waiver of it.
Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
